The Constitution of Friends of the Dell

1   The aims of Friends of the Dell (‘the group’):
  • to encourage local interest and pride in the Dell, a small park lying between Warwick Place and Beauchamp Hill in Leamington Spa;
  • to liaise with the authority responsible for its maintenance as a local residents' and users' organisation;
  • to maintain publicity for the Dell in local news media and schools;
  • to act as a forum for residents to air their views on possible improvements to the Dell or to report problems involving anti-social behaviour in the Dell.
2   Membership shall be open to all who support these aims and have paid a subscription at a level determined by the Committee. The Committee shall ensure that there is an Annual General Meeting (AGM) and may call an extraordinary general meeting at its discretion.

3   At the AGM each member shall have one vote for the election of a Committee consisting of a Chair, Secretary and Treasurer to serve for a year and to determine any other business that may require a vote. The elected officers shall be under obligation to report to the next AGM, where they may stand for re-election.

4   The Committee shall meet regularly and may invite members to engage in discussion as non-voting participants. The Committee may co-opt extra committee members at their discretion to serve as necessary or until the next AGM. All members will receive copies of the minutes of every meeting, sent by whatever means the Secretary may decide. If an elected officer resigns before the next AGM, the Committee may appoint a replacement to serve until the next AGM.

5   Funds may only be spent in the furtherance of the aims of the group as outlined above. The elected officers may be reimbursed for reasonable expenses incurred in the performance of their roles on production of receipts.

6   The group may be dissolved by majority vote at an AGM or at a specially called general meeting. In the event of dissolution, any funds left in the account shall be spent on some suitable improvement to the Dell, or donated to an agreed charity.


Friends of the Dell Privacy Policy. 

Apart from members’ email addresses we hold very little data about individual members. The only use we make of your email addresses is to send out the agenda and the minutes of meetings and to remind you from to time of upcoming events or of specific issues that need to be addressed. If anyone no longer wishes to receive emails please let Penny Hughes, our Secretary, know.
